ChartSafe — End User License Agreement (EULA)

Licensor: SafeFlash LLC ("SafeFlash") Software: ChartSafe, including the web application, iOS application, updates, and documentation ("Software") Effective date: June 19, 2026 Version: 1.0

1. License grant

SafeFlash grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on devices controlled by you or your authorized workforce, solely for your internal practice operations and only during your active subscription term.

2. Restrictions

You may not: - copy the Software except as needed for normal authorized use; - sell, rent, lease, lend, sublicense, or distribute the Software or access to it; - reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code, except to the limited extent applicable law expressly permits despite this restriction; - modify, translate, or create derivative works of the Software; - remove or alter any proprietary notices; - use the Software to build a competing product or to benchmark it for a competitor; - circumvent or disable any security, license-control, or tenant-isolation feature.

3. Ownership

The Software is licensed, not sold. SafeFlash and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted except those expressly stated here.

4. Updates

SafeFlash may provide updates, patches, or new versions. This EULA governs all updates unless an update comes with separate terms. Some updates may be required for continued use or security.

5. Customer Data

The Software stores data you enter ("Customer Data"). You retain ownership of Customer Data. SafeFlash receives only the limited rights needed to host, process, secure, back up, and support the Software, and, where PHI is involved, as set out in the Business Associate Agreement.

6. Third-party and open-source components

The Software may include third-party or open-source components licensed under their own terms. Those terms apply to those components.

7. Medical and clinical disclaimer

The Software is a documentation tool. It is not a medical device, not clinical decision support, and not a substitute for professional judgment. You are solely responsible for all clinical decisions and for the accuracy of the information you enter. (See the Terms of Service, Section 2.)

8. Term and termination

This license is effective until terminated. It ends automatically if you breach it or when your subscription ends. On termination you must stop using the Software and remove it from your devices. Sections that by their nature should survive (ownership, restrictions, disclaimers, limitation of liability) survive termination.

9. Disclaimers and limitation of liability

The Software is provided "AS IS." SafeFlash disclaims all implied warranties to the maximum extent permitted by law. SafeFlash's liability under this EULA is subject to the same limitations stated in the ChartSafe Terms of Service.

10. Export and compliance

You agree to use the Software in compliance with all applicable export-control and other laws.

11. Apple-specific terms (iOS app only)

For the iOS app obtained through the Apple App Store: this EULA is between you and SafeFlash only, not Apple; Apple is not responsible for the Software or any claims relating to it; and Apple is a third-party beneficiary entitled to enforce this EULA against you.
